Paralegal (Wrocław, Poland)

General:

The Corporate Paralegal/Legal Assistant will report to the Legal Counsel and provide a full range of global paralegal and administrative support to the Legal Department and Company Group and will draft customer agreements and addenda in close cooperation with Legal Counsel and other departments.

The Corporate Paralegal/Legal Assistant will assist the Legal Counsel in achieving its mission of providing timely, quality and cost-effective legal services to the Company. Experience in and/or ability of dealing with highly confidential information and interfacing with multiple levels of management and employees is required. This position is subject to change as the needs of the Company Group and Legal Department require.

Responsibilities:

Agreements

  • Prepare customer agreements based on templates and draft standard addenda in close cooperation with the Sales and Finance Department, and with support from the Legal Counsel as needed
  • Draft contractor agreements in close cooperation with the HR Department
  • Maintain and update different agreement templates, in accordance with input from the Legal Counsel
  • Execute steps in the contract managements process for commercial and corporate agreements (customer agreements, NDA’s, SoW’s, partner agreements, supplier agreements), including arranging Director’s signature, circulating and storing agreements

Corporate Governance

  • Assist Legal Counsel with corporate governance, including drafting and maintenance of corporate minute books and other corporate records
  • Update appropriate government bodies when changes to various entities’ corporate information occurs
  • Act as contact for outside counsel foreign governance work; coordinate with outside counsel on various governance projects; obtain appropriate signatures by Company officers when needed; and assist with various filings when needed

Administrative

  • Day to day administrative support of Legal Department
  • Respond to day-to-day requests from other departments in respect of legal procedures and other legal/corporate issues
  • Special projects as requested

Litigation/Disputes

  • Assist Legal Counsel with litigation management and internal and external communication
  • Bankruptcy – Prepare and file Proofs of Claim; monitor bankruptcies through repayment process and keep Legal Counsel up-to-date on the case
  • Notify insurance carriers of claims
  • Send payment demands to customers

Knowledge requirements:

  • Either bachelor’s degree (B.A.) in the field of administration or any other relevant university degree; or at least two years’ experience and/or vocational training as Paralegal/Legal Assistant/Corporate Assistant is required
  • Prior experience as a Paralegal/Legal Assistant or comparable in a law firm or corporate legal department would be in any case a plus

  • High energy, self-motivated, and able to complete tasks with minimal supervision
  • Ability to analyze complex situations & quickly develop appropriate solutions
  • Demonstrate commercial feeling
  • High proficiency with MS Office Programs, including Word, Excel and PowerPoint, and with Adobe Acrobat
  • Excellent written and spoken English required; any of Swedish, Finnish, Dutch, German or French language skills would be a plus
